Position reports to: Vice President, Tax
This position will take a lead role on M&A manners, technical transfer pricing matters, and drafting intercompany agreements related to cross border tangible product flows and services. This role will also heavily participate in cross-border tax planning strategies and analyzing tax legislative developments in and outside the US. This role will report to the Vice President, Tax and will be a key interface with non-tax business leaders throughout the global organization regarding the above matters. This role will also have input into the US IRS audit as it relates to transactions previously implemented. Extensive interface with the Company’s financial statement auditors and outside tax and legal consultants.
Serve as the primary Corporate Tax resource on all M&A transactions, working closely with the Business Development, Legal, Treasury and Finance teams. This includes overseeing due diligence, advising on transaction structure, tax-efficient financing, contractual review, and post-acquisition integration.
Serve as the primary Corporate Tax resource on all technical transfer pricing matters and the drafting of intercompany agreements, working closely with other Corporate Tax team members, Legal, and the business teams. This also includes advising on transfer pricing documentation requirements and strategy to ensure transfer pricing matters are BEPS compliant.
Work jointly with the Sr. Director, Tax Strategy and regional tax personnel to identify, evaluate, implement, and document international and domestic tax planning strategies to minimize the global effective tax rate and minimize cash taxes, including assessing the financial impact of tax planning strategies to the company’s overall effective tax rate
Provide input on IRS audit matters that relate to tax planning and transfer pricing strategies previously implemented.
Analyze proposed US, foreign and OECD legislation/initiatives to determine the impact on the Company’s global tax position.
Coordination with the Tax Operations group to analyze the non-US projected and actual effective tax rate, and to analyze the tax accounting implications of a tax planning strategy.
Close interaction with non-tax personnel, including Treasury, Finance, Operations, and Legal.
Annual travel requirement: Domestic and International travel required, approx. 5-10%.
15+ overall years corporate income tax background.
Extensive experience in multinational M&A transactions.
Strong technical understanding of IRC Section 482 and the OECD BEPS final reports.
Strategic planning background and experience dealing with the US foreign tax credit and subpart F provisions.
Ability to recognize potential financial statement implications of transactions undertaken.
Proven track record of working close with various groups within a corporate structure including: Treasury, Finance, Operations, Legal, etc.
Strong track record of problem solving, strategic/creative thinking and superior business communication skills.
Exceptional business communication skills with ability to effectively relate tax issues to non-tax personnel; strong consensus builder and team player; especially skilled at communicating with upper management on a range of broad business plans.
Established relationships with international tax advisors (public accounting and law firms) around the world.
JD required; Accounting undergraduate degree and CPA certification highly preferred.
